UniCredit profit hits record as Orcel’s Commerzbank bet enters overdrive

UniCredit raised its 2026 profit target after delivering record first-half earnings, giving Chief Executive Andrea Orcel more room to pursue control of Commerzbank without weakening the Italian lender’s standalone investment case.

Second-quarter net profit reached €2.9 billion, ahead of the €2.8 billion average forecast compiled by the bank.

Excluding a €245 million trading and funding charge linked mainly to its enlarged Commerzbank position, profit was €3.1 billion.

Revenue rose 7% to €6.5 billion, prompting UniCredit to lift its full-year net profit ambition to well above €11 billion, or about €11.5 billion before integration costs.

Core business absorbs deal-related drag

The earnings beat was supported by a broad improvement in the operating business rather than a single revenue line.

Fees and net insurance income climbed 14% from a year earlier, while net interest income rose 2% from the previous quarter as quality loans and deposits increased 8%.

Costs fell 1%, even as UniCredit continued investing in technology and artificial intelligence.

That pushed the first-half cost-to-income ratio down to 34%, while the cost of risk remained contained at 17 basis points.

The balance sheet also stayed resilient. UniCredit reported a common equity tier-one ratio of 14.3% and expects it to be around 15% by year-end, before any impact from fully consolidating Commerzbank.

The bank also outlined an interim cash dividend of about €2.8 billion.

Commerzbank becomes a strategic transaction

UniCredit is increasingly presenting Commerzbank as an industrial deal rather than a passive financial holding.

Its direct stake, tendered shares and instruments carrying delivery rights amount to 47.59% of the German bank’s share capital, equivalent to 49.65% of voting rights once treasury shares are excluded.

Management expects the capital deployed into Commerzbank to generate an overall return on allocated capital of 15%.

Orcel’s argument is that applying UniCredit’s operating model to the German lender could improve efficiency, revenue growth and shareholder returns.

The path to control remains contested.

Commerzbank said less than 2% of tendered shares came from independent institutional and retail investors and stressed that the transfer of voting rights remains subject to regulatory approvals.

Capital discipline becomes the decisive test

The stronger earnings give UniCredit greater capacity to absorb integration costs, but the Commerzbank investment is already creating visible expenses and capital complexity.

Scope Ratings sees no immediate effect on UniCredit’s credit rating.

It cautioned, however, that effective control and full consolidation could materially increase capital consumption, with meaningful execution risks if UniCredit controls Commerzbank without owning a clear majority.

That leaves investors with two competing signals. UniCredit’s core franchise is producing enough profit to support larger distributions and strategic expansion.

The central question is whether the promised 15% return from Commerzbank will compensate for the political, regulatory and integration risks required to deliver it.
