Bristol-Myers stock: why AstraZeneca merger is unlikely to happen

Bristol-Myers Squibb (BMY) stock is declining this morning, reversing its premarket gains as Wall Street digests bombshell reports of a potential transatlantic merger with AstraZeneca (AZN).

According to media reports, the UK healthcare heavyweight has held preliminary discussions with BMY regarding a potential megamerger that could value the combined enterprise near $400 billion.

However, there’s reason to remain skeptical about whether the initial dialogue can translate into a binding agreement – and that warrants caution in chasing the momentum in Bristol-Myers shares today.

Why has Bristol-Myers stock already started pulling back?

From an analytics standpoint, the primary barrier preventing Bristol-Myers’ potential merger with AZN is the formidable regulatory landscape.

Both companies hold dominant market shares in oncology and cardiovascular therapeutics – two areas receiving intense scrutiny from antitrust regulators like the FTC and the European Commission.

Merging BMY’s blockbuster therapies like Opdivo and Eliquis with AstraZeneca Plc’s extensive cancer and cardiovascular portfolio would create concentration issues that regulators are unlikely to clear without massive divestitures.

Moreover, given the recent global political momentum against healthcare consolidation, antitrust agencies on both sides of the Atlantic would likely challenge a deal of this magnitude vigorously.

This is why BMY shares have already started paring back their premarket gains as of writing.

Caution is warranted in chasing the momentum in BMY shares

Beyond antitrust headwind, the financial dynamics of such a transaction face immediate resistance from institutional investors.

The news hit AstraZeneca shares hard in the London sessions today, underscoring intense investor concern regarding dilution and leverage.

Bristol-Myers carries massive debt from previous acquisitions, so absorbing it at a premium would strain AZN’s balance sheet at a time when capital discipline is paramount.

Plus, both pharma giants face looming “patent cliff” expirations later this decade on major revenue generators.

Merging two giants undergoing portfolio transitions introduces immense operational risk – which would likely make AstraZeneca’s board extremely hesitant in proceeding past exploratory talks.

How to play Bristol-Myers at current levels?

While a buyout at a premium would be a major win for BMY shareholders, according to JM Finn’s investment director Lucy Coutts, market reality recommends against chasing the momentum in the pharma stock.

Given that regulatory and board approvals for this merger are highly unlikely, and AZN investors are already pushing back, the likelihood of a deal materializing is remarkably low.

Once the initial excitement fades and takeover chatter cools, BMY stock’s temporary gains could reverse rather quickly.

Simply put, investors holding the stock should take advantage of today’s price surge to lock in gains and unload shares before the market recalibrates to fundamental realities.

Investors should also note that Wall Street currently rates Bristol-Myers Squibb at Moderate Buy, albeit with a $63 mean price target, which reinforces downside risk from current levels.
